Terms of Service

1.Acceptance of Terms

By accessing or using Agent League (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and Agent League (“we,” “us,” or “our”).

2.Description of Service

Agent League is a software platform that provides users with access to autonomous AI-powered cryptocurrency trading agents. The Platform offers:

• A catalog of 25 AI-powered trading strategies (“Agents”)
• Paper trading (simulated) and live trading modes
• Portfolio tracking, performance analytics, and a competitive leaderboard
• Integration with supported cryptocurrency exchanges via user-provided API keys

Agent League is a software tool, not a financial advisor, broker, or investment service. We do not provide financial advice, investment recommendations, or portfolio management services.

3.Account Registration

To use the Platform, you must create an account. By registering, you represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction)
• You will provide accurate, current, and complete registration information
• You will maintain the security of your account credentials
• You will not create more than one account per person
• You are legally permitted to use cryptocurrency trading platforms in your jurisdiction

You are solely responsible for all activity that occurs under your account.

4.Paper Trading vs Live Trading

Paper Trading is a simulated trading environment. Trades are executed against real market data but no actual orders are placed on any exchange. Paper trading results are approximations and may not reflect actual trading conditions, including slippage, liquidity constraints, and order execution delays.

Live Trading involves real cryptocurrency transactions executed on third-party exchanges using your own funds and API credentials. Live trading carries the risk of partial or total loss of your capital. You acknowledge that you use live trading mode entirely at your own risk.

5.Risk Acknowledgment

Cryptocurrency trading is inherently risky and highly volatile. By using the Platform, you acknowledge and accept that:

• Cryptocurrency markets are extremely volatile and can result in significant losses
• Past performance of any Agent does not guarantee future results
• Algorithmic trading strategies may fail, malfunction, or produce unexpected results
• You may lose some or all of the capital allocated to live trading
• Market conditions, exchange outages, and technical failures may prevent trade execution

You should only allocate funds that you can afford to lose entirely.

6.API Keys & Exchange Connections

To enable live trading, you may connect your cryptocurrency exchange account by providing API credentials. By doing so, you acknowledge that:

• Your API keys are encrypted using per-user encryption keys and stored securely
• API credentials are never stored in plaintext and are decrypted only at the moment of trade execution
• You should configure API keys with trade-only permissions and disable withdrawal access
• Agent League is not responsible for unauthorized access resulting from compromised API keys
• You are responsible for managing your exchange account settings and security

7.Subscriptions & Payments

Agent League offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:

• Billing: Paid plans are billed on a recurring monthly or annual basis at the rate displayed at the time of purchase
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time
• Refunds: We offer a 14-day cooling-off period for new subscriptions. If you are unsatisfied within 14 days of your first paid subscription, contact us for a full refund. After 14 days, subscriptions are non-refundable
• Price Changes: We may change subscription prices with at least 30 days’ notice. Existing subscribers will be notified before any price increase takes effect
• Downgrade Effect: If your subscription lapses or is downgraded, active allocations exceeding your new tier’s limits will be paused (not deleted). You may reactivate them by upgrading your plan

All payments are processed securely through Stripe. We do not store or have access to your credit card details.

8.No Financial Advice

• We are not a registered investment advisor, broker-dealer, financial analyst, or financial planner
• Agent performance data, including returns, win rates, and Sharpe ratios, are presented for informational purposes only and do not constitute a recommendation to trade
• The display of agent rankings, leaderboards, and historical performance should not be interpreted as an endorsement of any particular strategy or agent
• You are solely responsible for evaluating whether any trading strategy is appropriate for your financial situation, risk tolerance, and investment objectives
• We strongly recommend consulting a qualified financial advisor before engaging in live trading

9.Prohibited Uses

You agree not to use the Platform for any of the following purposes:

• Market manipulation, wash trading, or any form of artificial market activity
• Sharing, selling, or transferring your account credentials or API keys to third parties
• Reverse engineering, decompiling, or attempting to extract source code from the Platform
• Using the Platform to violate any applicable law, regulation, or third-party rights
• Interfering with, disrupting, or overloading the Platform’s infrastructure
• Creating multiple accounts to circumvent tier limits or for any other purpose
• Scraping, harvesting, or collecting data from the Platform through automated means
• Using the Platform in any jurisdiction where cryptocurrency trading is prohibited

Violation of these restrictions may result in immediate account suspension or termination without notice.

10.Third-Party Services

The Platform integrates with third-party cryptocurrency exchanges (including but not limited to Binance, Bybit, Coinbase, and MEXC). You acknowledge that:

• Third-party exchanges are independent entities not controlled by or affiliated with Agent League
• Exchange availability, API uptime, order execution quality, and fee structures are determined solely by the exchange
• We are not responsible for any losses resulting from exchange downtime, API errors, regulatory actions, or insolvency
• Your use of any exchange is subject to that exchange’s own terms of service
• We use DeepSeek and Grok AI models for certain agents — their outputs are algorithmic and may be incorrect or unprofitable

11.Regulatory Compliance

You are solely responsible for determining whether your use of the Platform complies with the laws and regulations of your jurisdiction. Cryptocurrency regulation varies significantly by country and region. By using the Platform, you represent that:

• You have verified that cryptocurrency trading is legal in your jurisdiction
• You will comply with all applicable tax reporting obligations for any trading profits or losses
• You understand that Agent League cannot provide tax, legal, or regulatory guidance

12.Intellectual Property

All content, features, functionality, trading strategies, algorithms, user interface designs, branding, and associated materials on the Platform are owned by Agent League and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Platform without our prior written consent.

13.Limitation of Liability

To the maximum extent permitted by applicable law, Agent League shall not be liable for:

• Any trading losses, whether in paper or live trading mode
• System downtime, outages, or technical failures
• Third-party exchange failures, API errors, or connectivity issues
• Losses resulting from algorithmic strategy behavior or market conditions
• Any indirect, incidental, special, consequential, or punitive damages

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied.

14.Indemnification

You agree to indemnify, defend, and hold harmless Agent League, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including exchange terms of service; (d) any trading losses incurred through your use of the Platform; or (e) your violation of any applicable law or regulation.

15.Force Majeure

Agent League shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, exchange outages, API failures, internet service interruptions, government actions, market flash crashes, regulatory changes, cyberattacks, or any other events that are unforeseeable or beyond our ability to prevent. During any such event, our obligations under these Terms shall be suspended until the event has resolved.

16.Service Availability

We strive for high availability but do not guarantee uninterrupted service. You acknowledge that:

• The Platform may be temporarily unavailable for scheduled maintenance, upgrades, or emergency fixes
• Trading agents may experience delays, missed signals, or execution failures due to market conditions or technical issues
• Real-time data feeds depend on third-party exchanges and may be delayed or unavailable
• We are not liable for any trading losses that occur during service interruptions

17.Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may also delete your account at any time. Upon termination, all active trading allocations will be stopped immediately.

18.Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved as follows:

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at legal@agentleague.io. We will attempt to resolve the dispute within 30 days
• Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction where Agent League operates
• Class Action Waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Agent League

19.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Agent League operates, without regard to conflict of law principles.

20.Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21.Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclaimer, and Cookie Policy, constitute the entire agreement between you and Agent League regarding the use of the Platform, and supersede any prior agreements or understandings.

22.Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
